1. Parties and scope

The legal entity trading as Cryo Labs, its registered address, and jurisdiction of incorporation.
That these terms govern every sale made through this site and supersede any purchase order terms a buyer attaches.
How the terms are accepted, and that acceptance occurs at checkout.

How the system behaves today

The seller is Cryo Labs LLC, a Texas limited liability company (Secretary of State file number 806761718, effective August 24, 2026), mailing address 110 North Interstate Highway 35, Ste. 315 PMB 3433, Round Rock, TX 78681.

2. Buyer eligibility

Minimum age and the requirement that the buyer orders in a research, laboratory, institutional, or business capacity.
That an individual ordering for personal use is not an eligible buyer.
Cryo Labs’ right to refuse or cancel any order at its discretion, and to require documentation of institutional affiliation.

How the system behaves today

An account is required to order, and the email address must be verified before checkout opens.
Accounts record whether the buyer is an individual or an institution; institutional accounts must name the institution.
There is no manual approval gate before a first order at present.

3. Research use restriction

That all materials are supplied for laboratory research use only.
That the materials are not drugs, foods, cosmetics, or medical devices, and are not approved for human or veterinary use.
The prohibition on administering the materials to humans or animals, and on any diagnostic, therapeutic, food, cosmetic, or household application.
The prohibition on resale, relabelling, or redistribution for human or veterinary use.
The consequences of breach, including cancellation, refusal of future orders, and the buyer’s assumption of liability.

How the system behaves today

Every checkout requires an explicit attestation to these restrictions before payment.
The attestation is stored with the text as shown, a timestamp, the IP address, and the user agent, and cannot be altered or deleted afterwards.
An order cannot advance past payment unless the attestation record exists.

4. Orders, acceptance, and cancellation

That a submitted order is an offer, and the point at which Cryo Labs accepts it.
Treatment of pricing and stock errors, and the right to cancel and refund rather than fulfil at an incorrect price.
When a buyer may cancel, and the position once an order has shipped.

How the system behaves today

Orders are created in a pending state and become paid only when the payment processor confirms.
Line item prices and product specifications are captured onto the order at purchase, so later catalogue edits do not alter a placed order.
Stock is decremented conditionally, so an item cannot be oversold.

5. Pricing, payment, and taxes

Currency, what is and is not included in the displayed price, and when prices may change.
Accepted payment methods and the role of the third-party payment processor.
Which party is responsible for sales, use, and import taxes, and the treatment of tax-exempt institutional buyers.
Chargeback and failed payment handling.

How the system behaves today

All amounts are handled in integer cents; the order total is constrained to equal subtotal plus shipping plus tax.
Tax is currently recorded as zero pending a tax determination.
Payment is taken through a third-party processor; card details never reach Cryo Labs systems.

6. Shipping, title, and risk of loss

Dispatch timing commitments and their limits.
The point at which title and risk of loss pass to the buyer.
The buyer’s obligation to inspect on delivery and the window for reporting damage or shortage.
Consequences of an undeliverable or refused shipment.

How the system behaves today

Shipping is to the United States and to a short allow-list of international destinations; the address form rejects unlisted countries.
On international orders the buyer is the importer of record: parcels carry an accurate customs declaration of contents and value, duties and taxes are the buyer’s to pay, and a shipment seized, refused, or returned by customs is not refunded. It is the buyer’s responsibility to confirm before ordering that they may lawfully receive the materials in their country.
Orders ship with carrier and tracking number recorded, and cannot be marked shipped without them.
Orders ship in protective packaging with end-to-end tracking.

7. Returns and refunds

Whether returns are accepted at all given the nature of the materials, and any exceptions.
The process for a damaged, incorrect, or short shipment.
Refund method and timing.
That materials which have left Cryo Labs’ custody cannot re-enter saleable stock, and why.

How the system behaves today

The operating position is that returns are not accepted, on the ground that material out of Cryo Labs’ custody cannot be shown to have been stored or handled to the standard its certificate was issued against, so it can never re-enter saleable stock. This is stated to buyers on the FAQ page and published as structured data on every product listing (returnPolicyCategory MerchantReturnNotPermitted), so the drafted section must be consistent with it — if counsel reaches a different position, the FAQ answer and lib/seo/structured-data.ts change with it.
A shipment arriving damaged, short, or mis-picked is handled separately from returns and is not covered by that refusal. The shipping page asks for it to be reported within 48 hours of delivery with the order number and photographs.

8. Documentation and specifications

The status of a certificate of analysis: what it represents and what it does not.
Tolerances on stated purity, mass, and specification values.
That specifications describe the material only, and are not a representation of suitability for any purpose.

How the system behaves today

A certificate of analysis is published against the lot supplied and is downloadable from the product page. Cryo Labs is a distributor and does not perform the analysis: it commissions it from an independent laboratory it selects and pays, which the warranty and disclaimer sections must account for. The panel covers identity, purity, and net content. It does not extend to endotoxin, microbial contamination, or elemental impurities.
Product records hold specification data only — compound name, CAS number, formula, molecular weight, purity, form, size, and storage temperature.

9. Warranties and disclaimers

The limited warranty offered, if any, and its duration.
Disclaimer of implied warranties including merchantability and fitness for a particular purpose, in the form required by the governing jurisdiction.
An explicit statement that no representation is made as to any effect, application, or benefit of any material.

10. Limitation of liability

The liability cap and its relationship to the order value.
Exclusion of indirect, incidental, and consequential damages.
Carve-outs required by law.

11. Indemnification

The buyer’s indemnity for claims arising from their use, handling, storage, or disposal of the materials.
The indemnity’s survival of the sale.
Notice and defence procedure.

12. Compliance with law

The buyer’s responsibility to determine that possession and intended research use are lawful in their jurisdiction.
Export control and restricted-party obligations.
Institutional safety, licensing, and disposal obligations.

13. Governing law and disputes

Governing law and venue.
Whether arbitration is required, and any class action waiver, subject to enforceability in the chosen jurisdiction.
Notice requirements before a claim.

14. Changes to these terms

How changes are made and communicated.
That the terms in force at the time of an order govern that order.
Versioning and the retention of superseded versions.

How the system behaves today

The buyer attestation is versioned, and each order stores the exact text accepted, so a superseded version remains provable for past orders.
